Key Highlights
The Firm was at the forefront in defending the interests of the Tata Sons Pvt. Ltd. in one of India’s most hotly contested corporate battles in recent memory when the then Chairman of Tata Sons, Mr. Cyrus Mistry, was removed from his position as Chairman of Tata Sons. The Firm represented Tata Sons in several fora including the NCLT in Mumbai, the NCLT in Delhi, the NCLAT in Delhi and the Supreme Court during this legal battle which ultimately ended in a comprehensive victory for Tata Sons in the Supreme Court.
The Firm represented GVK Airport Holdings Ltd. before the Delhi High Court and the Supreme Court and in arbitration proceedings in a heavily contested dispute concerning its rights to purchase the shareholding of its co-shareholders in Mumbai International Airport Limited wherein it sought to enforce its Right of First Refusal (ROFR) under the Shareholders Agreement. After more than a year from the initiation of the dispute, a settlement was reached between the parties.
The Firm has been representing the Dalmia Group, a prominent real-estate group in India, in a complex and highly valued commercial dispute against the Ansal Group before multiple fora. These proceedings have primarily arisen out of the division of assets and liabilities between the two groups pursuant to the restructuring of their joint venture company. As a part of the disputes between the parties, the Firm has been handling oppression and mismanagement proceedings on behalf of certain shareholders of the Dalmia Group.
The Firm has advised and represented Mr. Ashneer Grover in his disputes against the other shareholders and the management of M/s Resilient Innovations Private Ltd. (BharatPe).
The Firm represented the Ruia family in the Supreme Court in a case pertaining to the enforceability of contractual restrictions on the transfer of shares of Indian public limited companies under the erstwhile Companies Act, 1956 notwithstanding the statutory mandate of Section 111A of the Companies Act, 1956.
